Audioscape Developer Terms of Service

PLEASE READ THESE DEVELOPER TERMS OF SERVICE CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION REGARDING THE AUDIOSCAPE DEVELOPER SERVICE AND YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS.
THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT REQUIRE DISPUTES TO BE RESOLVED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS.
1. Introduction and Scope
These Developer Terms of Service (the "Terms" or this "Agreement") are between Audioscape, Inc., a Delaware corporation with offices at 410 La Mesa Dr., Portola Valley, CA 94028 ("Audioscape"), and the individual or entity accessing the Developer Service ("Developer" or "you").
These Terms govern your access to and use of developer.audioscape.ai, the Audioscape application programming interfaces, and related tools, dashboards, and documentation (collectively, the "Developer Service"). These Terms do not govern use of Bloxtunes.co or other Audioscape consumer properties, which are subject to separate terms.
These Terms incorporate the Audioscape Privacy Notice and any Order Form executed between the parties.
We may revise these Terms by posting a revised version with an updated date. For material changes, we will provide notice through the Developer Service. Your continued use after the effective date constitutes acceptance; if you do not agree, stop using the Developer Service. For Developers on a Paid Tier, material changes take effect at the start of the next renewal period.
BY ACCESSING OR USING THE DEVELOPER SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE DEVELOPER SERVICE.
2. Definitions
"Audioscape Content" means the metadata, analytics, charts, indices, popularity and demand signals, beat grids and beat-synchronization data, audio fingerprints, sentiment and usage statistics, APIs, SDKs, dashboards, documentation, and other materials made available through the Developer Service. Audioscape Content does not include any sound recording or musical composition.
"Developer Tools" means the APIs, SDKs, sample code, libraries, plug-ins, dashboards, and related documentation made available by Audioscape.
"Metadata" means data generated, derived, or inferred by Audioscape in connection with the Developer Service, including audio fingerprints, tempo, rhythm, phrase segmentation, beat synchronization, usage statistics, search and play events, sentiment signals, and other analytical data.
"Order Form" means a written or electronic ordering document executed by both parties that identifies the applicable Service Tier and any fees.
"Paid Tier" means any Service Tier identified in an Order Form, including any promotional or trial period of such a tier. "Free Tier" means access provided without an Order Form.
"Service Tier" means the access level and usage limits applicable to your account, as set forth in Exhibit A.
3. Eligibility and Accounts
You represent that you are at least eighteen (18) years of age, or that you are entering into this Agreement on behalf of an entity that you have authority to bind. If you are under eighteen (18), you may not register for or use the Developer Service except through a parent or legal guardian who accepts this Agreement on your behalf and is bound by it.
Registration requires a valid account. API credentials are generated through your account. You are responsible for all activity occurring under your account and credentials, and for maintaining their confidentiality. You must notify Audioscape promptly at security@audioscape.ai of any suspected unauthorized use.
You agree that any registration and account information you submit is and will remain true, accurate, and complete.
4. License Grant and Permitted Use
Subject to your compliance with this Agreement, Audioscape grants you a limited, non-exclusive, non-transferable, revocable license during the term to access and use the Developer Tools, and to use, reproduce, and display the Audioscape Content, for the purpose of developing and operating your experiences, applications, and services, including for commercial purposes.
Audioscape and its licensors retain all right, title, and interest in the Developer Service, the Developer Tools, the Audioscape Content, and all intellectual property therein. Audioscape reserves all rights not expressly granted.
You may not:
- sell, rent, lease, sublicense, or redistribute the Developer Tools, or make the Developer Tools available to any person other than your personnel acting on your behalf and in connection with your permitted use;
- access or facilitate access to the Developer Service beyond the scope of this Agreement or without valid credentials;
- circumvent, modify, or interfere with any security technology, rate limit, or access control;
- reverse engineer, decompile, disassemble, or create derivative works of the Developer Tools, except where such restriction is prohibited by applicable law;
- use any robot, spider, scraper, or automated means to retrieve, duplicate, or index the Audioscape Content other than through the documented APIs;
- use the Audioscape Content to train a machine learning or artificial intelligence model, or supply the Audioscape Content to any such model, without Audioscape's prior written consent;
- remove or alter any copyright, trademark, or other proprietary notice;
- introduce viruses, malware, or other harmful code, or interfere with the operation of the Developer Service;
- misrepresent your affiliation with Audioscape or imply any connection, association, sponsorship, or endorsement between you and Audioscape, or between you and any artist, without written permission; or
- use the Developer Service in any manner that is fraudulent, deceptive, unlawful, or that infringes or misappropriates the rights of Audioscape or any third party.
5. Audio Assets and Music Rights
All audio assets referenced by the Developer Service are hosted and licensed by Roblox Corporation, and Developer's use of such assets is governed solely by Roblox's Terms of Use and the Roblox Creator Third Party App Terms. Audioscape makes no representation or warranty regarding the ownership, licensing status, clearance, or availability of any audio asset.
6. Roblox Platform Terms
The Audioscape Service is a third-party application operating under the Roblox Creator Third Party App Terms. As a condition of using the Developer Service, you agree to and will comply with the Roblox Terms of Use, including the Roblox User Terms, Creator Terms, and Community Standards. You further acknowledge and agree that:
- (a) this Agreement is between you and Audioscape only, and not with Roblox Corporation ("Roblox");
- (b) Roblox is not affiliated in any way with Audioscape or the Developer Service;
- (c) Roblox is not responsible or liable for any party's use of or access to the Developer Service;
- (d) Roblox has no obligation to provide any maintenance or support services with respect to the Developer Service; and
- (e) by using or accessing the Developer Service, you waive and release any and all claims, liabilities, damages, losses, and expenses against Roblox arising from or related to the Developer Service.
Your compliance with Roblox policies is your sole responsibility, and any conflict between this Agreement and your obligations to Roblox does not relieve you of either.
7. Player Data
In connection with the Developer Tools, Audioscape does not collect, store, or transmit player names, email addresses, physical addresses, telephone numbers, payment information, or precise geolocation. Audioscape supports targeted deletion of player identifiers and associated records; see our Privacy Notice for details.
Data Segregation. Analytics, sentiment, and reporting made available to you through the Developer Service reflect only your own experiences, and are presented in aggregate. Audioscape does not make your experience-level data available to any other Developer.
You are independently responsible for your own compliance with applicable data protection and children's privacy laws, and for providing any notices and obtaining any consents required in connection with your experiences.
8. Developer Data and Metadata
Developer Data. You grant Audioscape a worldwide, royalty-free, non-exclusive license to use, store, process, modify, and display the playlists, configurations, settings, station definitions, and other information you create or enter into the Developer Service ("Developer Data") in order to operate, secure, and improve the Developer Service. You represent and warrant that you have the right to provide Developer Data and that it does not violate applicable law or infringe any third-party right.
Metadata. As between you and Audioscape, Audioscape owns and has all rights to Metadata. Where the foregoing assignment is prohibited by law, you grant Audioscape an exclusive, transferable, worldwide, royalty-free, fully paid up license (including the right to sublicense) to use and exploit all Metadata as Audioscape may determine in its sole discretion, including to provide, improve, and enhance its services and to publish charts, indices, and aggregate reporting.
9. Feedback
You may submit feedback, comments, suggestions, or ideas about the Developer Service ("Feedback"). Except as prohibited by applicable law, you assign all right, title, and interest in Feedback to Audioscape, and agree that Feedback is not confidential and that Audioscape may use it without obligation to you. Where such assignment is prohibited by law, you grant Audioscape an exclusive, transferable, worldwide, royalty-free, fully paid up license (including the right to sublicense) to use and exploit all Feedback.
10. Confidentiality
"Confidential Information" means non-public information disclosed by one party to the other in connection with this Agreement that is designated as confidential or that a reasonable person would understand to be confidential, including non-public commercial terms, pricing, technical information, roadmaps, and business plans.
Each party will use the other's Confidential Information solely to perform under this Agreement and will not disclose it to any third party without prior written consent, except to employees, contractors, and advisors with a need to know who are bound by confidentiality obligations no less protective than this Section. Confidential Information does not include information that is or becomes public through no breach of this Agreement, was known to the receiving party before disclosure, is independently developed without use of the Confidential Information, or is lawfully obtained from a third party without restriction. Either party may disclose Confidential Information as required by law, provided it gives prompt notice where legally permitted.
For clarity, Metadata is not Developer Confidential Information, and nothing in this Section limits Audioscape's rights under Section 8.
This Section survives termination for three (3) years.
11. Service Tiers, Fees, and Usage Limits
Your Service Tier and applicable usage limits are set forth in Exhibit A. Fees, if any, are set forth in the applicable Order Form. Fees are exclusive of taxes, which are your responsibility other than taxes on Audioscape's income.
Audioscape may limit the number of service calls, the selection or volume of Audioscape Content accessed, or other aspects of the Developer Service consistent with your Service Tier, and may apply technical measures to enforce those limits. If Audioscape reasonably believes you have attempted to exceed or circumvent these limits, your access may be temporarily or permanently suspended.
Audioscape may monitor your use of, and collect usage data related to, the Developer Service to ensure quality, improve the service, and verify compliance with these Terms. You agree not to block or interfere with such efforts.
12. Service Changes, Availability, and Deprecation
Audioscape will use commercially reasonable efforts to make the Developer Service available, but does not guarantee uninterrupted availability. The Developer Service may experience temporary interruptions, and availability of features may vary.
Audioscape may modify, update, or discontinue any Developer Tool, endpoint, or feature at any time. For Developers on a Paid Tier, Audioscape will provide at least thirty (30) days' written notice before discontinuing or making a backward-incompatible change to a generally available API endpoint, except where a shorter period is needed to address a security vulnerability, legal requirement, or change to a third-party platform outside Audioscape's control. Longer notice periods, if any, are as set forth in an Order Form.
Audioscape provides no availability, support, or deprecation commitment of any kind to Developers on the Free Tier.
13. Warranty Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN AN ORDER FORM, THE DEVELOPER SERVICE AND THE AUDIOSCAPE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AUDIOSCAPE DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. AUDIOSCAPE DOES NOT WARRANT THAT THE DEVELOPER SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THE AUDIOSCAPE CONTENT IS ACCURATE, COMPLETE, OR TIMELY.
AUDIOSCAPE MAKES NO WARRANTY REGARDING ANY THIRD-PARTY APPLICATION, PLATFORM, OR SERVICE, INCLUDING THE ROBLOX PLATFORM, OR ANY AUDIO ASSET REFERENCED BY THE DEVELOPER SERVICE.
14. Indemnification
By Developer. You will defend, indemnify, and hold harmless Audioscape and its officers, directors, employees, and agents from and against any third-party claim, and any resulting damages, liabilities, costs, and reasonable attorneys' fees, arising from or relating to (a) your breach of this Agreement; (b) your use of the Developer Service; (c) Developer Data; (d) your experiences, applications, or services; (e) your violation of any third-party right, including any privacy, publicity, or intellectual property right; or (f) your violation of any applicable law or of any Roblox policy.
By Audioscape (Paid Tier only). For Developers on a Paid Tier, Audioscape will defend you against any third-party claim alleging that the Audioscape Content or Developer Tools, as provided by Audioscape and used in accordance with this Agreement, infringe that third party's United States patent, copyright, or trademark, and will pay damages finally awarded or amounts agreed in settlement. This obligation does not apply to, and Audioscape has no liability for, any claim arising from (i) any sound recording, musical composition, or other audio asset; (ii) any content, data, or asset hosted, licensed, or provided by Roblox or any other third party; (iii) Developer Data or your experiences; (iv) modification of the Audioscape Content or Developer Tools by anyone other than Audioscape; or (v) use in combination with materials not provided by Audioscape where the claim would not have arisen but for the combination.
If the Audioscape Content or Developer Tools become, or Audioscape believes they may become, the subject of such a claim, Audioscape may at its option procure the right to continue use, modify or replace them to be non-infringing, or terminate the affected portion of the service and refund any prepaid, unused fees. This paragraph states Audioscape's entire liability and your exclusive remedy for infringement claims.
Procedure. The indemnified party will give prompt written notice of the claim, grant the indemnifying party sole control of the defense and settlement (provided no settlement imposes liability or admission on the indemnified party without consent), and provide reasonable cooperation at the indemnifying party's expense.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA, ARISING FROM OR RELATING TO THIS AGREEMENT.
Free Tier. AUDIOSCAPE'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THIS AGREEMENT OR THE DEVELOPER SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
Paid Tier. AUDIOSCAPE'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THIS AGREEMENT OR THE DEVELOPER SERVICE WILL NOT EXCEED THE GREATER OF THE FEES PAID BY YOU TO AUDIOSCAPE IN THE TWELVE (12) MONTHS PRECEDING THE FIRST CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).
Exclusions. The limitations in this Section do not apply to either party's obligations under Section 14 (Indemnification), to your breach of Section 4 (License Grant and Permitted Use), to either party's breach of Section 10 (Confidentiality), or to fraud, willful misconduct, or liability that cannot be limited by law.
Any claim arising under these Terms must be commenced within one (1) year after the claiming party first knows or reasonably should know of the act, omission, or default giving rise to the claim.
Some jurisdictions do not allow certain exclusions or limitations, in which case Audioscape's liability is limited to the greatest extent permitted by law.
16. Term, Suspension, and Termination
This Agreement begins when you first access the Developer Service and continues until terminated.
Free Tier. Either party may terminate at any time, for any reason, on written notice. Audioscape will use reasonable efforts to provide advance notice where practicable.
Paid Tier. The term is as set forth in the applicable Order Form. Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days of written notice. Either party may terminate for convenience effective at the end of the then-current term on thirty (30) days' written notice.
Suspension. Audioscape may suspend your access immediately, with notice where practicable, if it reasonably determines that your use (a) breaches this Agreement, (b) poses a security risk to the Developer Service or any third party, (c) violates applicable law or any Roblox policy, or (d) may subject Audioscape to liability.
Effect. Upon termination, your licenses terminate and you must cease all use of the Developer Tools and Audioscape Content. Sections 2, 4 (ownership and restrictions), 5, 6, 8, 9, 10, 13, 14, 15, 16, 17, and 18 survive termination.
17. Intellectual Property Policy
If you believe material on the Developer Service infringes your intellectual property rights, send notice to copyright@audioscape.ai identifying the work, the material at issue, and your contact information. Audioscape will review and may remove or disable access to the material. Audioscape may restrict or terminate the accounts of repeat infringers.
18. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of California, without regard to its conflicts of law principles.
Informal Resolution. Before commencing arbitration, the parties will attempt in good faith to resolve any dispute informally for thirty (30) days. The claiming party will send written notice describing the dispute and the relief sought. Notices to Audioscape go to legal@audioscape.ai. Notices to you will be delivered in accordance with Section 19.
Arbitration. Any dispute not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in San Mateo County, California. The Federal Arbitration Act governs. Either party may seek injunctive relief in court to protect its intellectual property or confidential information. Either party may bring an individual action in small claims court.
Class Action Waiver. ARBITRATION WILL PROCEED ONLY ON AN INDIVIDUAL BASIS. CLASS ARBITRATIONS, CLASS ACTIONS, REPRESENTATIVE ACTIONS, AND CONSOLIDATION WITH OTHER ARBITRATIONS ARE NOT PERMITTED. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.
Court Proceedings. For any proceeding not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state courts of San Mateo County, California, or the United States District Court for the Northern District of California.
19. Miscellaneous
Assignment; Successors. Audioscape may assign this Agreement, and may assign or delegate any of its rights or obligations, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets or equity, and without your consent. You may not assign this Agreement or transfer or sublicense your rights, in whole or in part, without Audioscape's prior written consent, except to a successor in connection with a merger, acquisition, or sale of all or substantially all of your assets, provided the successor assumes this Agreement in writing. This Agreement binds and inures to the benefit of the parties and their respective permitted successors and assigns, and remains in full force and effect following any such transaction.
Publicity. Neither party may use the other's name, logo, or trademarks without prior written consent.
Entire Agreement. This Agreement, together with the Privacy Notice and any Order Form, constitutes the entire agreement between the parties regarding the Developer Service and supersedes all prior agreements and understandings on that subject. In the event of conflict, an executed Order Form controls over these Terms.
Severability; Waiver. If any provision is held invalid, the remainder continues in effect. No failure to enforce any provision is a waiver of that or any other provision. No waiver is effective unless in writing.
Independent Contractors. The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or fiduciary relationship.
Notices. Notices to Audioscape may be sent to legal@audioscape.ai. Because registration is completed through Roblox authorization and Audioscape does not receive your email address, notices to you will be delivered through the Developer Service console and are deemed received when posted. You may provide a contact email address in your account settings, in which case we may also send notices to that address.

New API keys are issued at the Free Tier. Audioscape may adjust the limits above on thirty (30) days' notice; for Developers on a Paid Tier, reductions to contracted limits take effect at the start of the next renewal period.
